An Open Letter from Chip McClure, ArvinMeritor Chairman, CEO & President:

ArvinMeritor has successfully competed and excelled in various markets within the motor vehicle industry by providing advanced technologies, exceptional products, and outstanding service. Knowing our customers benefit when supplied with innovative vehicle components, integrated systems, and modules, we constantly strive to enhance our product and technological offerings.

Regrettably, actions taken by our competitor in the markets for North America Class 8 vocational and linehaul transmissions, Eaton Corporation, has resulted in stymied innovation and limited competition. Truck operators have lost the ability to choose.

To protect our shareholders’ interests and create an environment where competition has an opportunity to flourish – thereby benefiting heavy-duty truck manufacturers, fleets, their drivers, and owner operators – we have filed an antitrust Complaint against Eaton Corporation in federal district court.

It is unfortunate that it has come to this, but we have been forced into action. The actions of our competitor have harmed not only our customers and shareholders, but truck operators generally - without competition, innovation languishes, choice evaporates and prices increase.

Together with our ZF partner, we played a vital and indispensable role in bringing to market North America’s first two-pedal automated manual transmission, the FreedomLine. Our broad range of transmission and other offerings have helped transform the way drivers do their jobs. We are proud that we have been able to offer innovative transmission solutions that support our heavy-duty truck customers’ efforts to lower costs and enhance the driving experience by improving fuel economy, reducing maintenance costs and simplifying driver training and operation.
